Bruno Gehrig and Pierfranco Riva are standing for re-election to the Swiss Life Holding Board of Directors for a further term of three years at the General Meeting on 9 May 2006. Georges Muller has decided not to stand for re-election. The shareholders will be asked to vote on the appointment of Henry Peter to the Board of Directors in his stead.

At the General Meeting on 27 May 2003, Bruno Gehrig (59), Pierfranco Riva (65) and Georges Muller (65) were elected to the Swiss Life Holding Board of Directors for a term of office of three years. Bruno Gehrig, Chairman of the Board of Directors, and Pierfranco Riva are standing for re-election at the General Meeting on 9 May 2006. Georges Muller will not seek another term for personal reasons.

Mr Muller was elected to the Supervisory Board of Swiss Life/Rentenanstalt in 1995 and in 1997 he became a member of the Board of Directors. Since November 2002 he has been a member of the Swiss Life Holding Board of Directors. In the words of Bruno Gehrig, "With his comprehensive experience of internationally operating companies and his outstanding specialist knowledge, in particular in the field of financial market law and corporate governance, Georges Muller has contributed a considerable amount to the successful development of the Swiss Life Group."

Dr Henry Peter (48) is being proposed to the shareholders as the new member of the Board of Directors. Henry Peter is a professor at the law school of the University of Geneva, and is Head of the Master in Business Law (MBL) postgraduate programme of the universities of Geneva and Lausanne. He is also a lawyer and partner in the law firm Bernasconi Peter Gaggini in Lugano. With his specialist knowledge, his international experience and his personality, Henry Peter is an ideal addition to the Board of Directors. Due to his nomination to the Swiss Life Holding Board of Directors, Henry Peter will be resigning from the Banca del Gottardo Board of Directors, where he has been a member since 1994.
