At today's Annual General Meeting of SwissLife Holding Ltd, shareholdersapproved all the resolutions proposed by the Board of Directors. A distributionof CHF4.50 per share is to be made from the capital contribution reserve. UeliDietiker, Frank W. Keuper and Klaus Tschütscher were newly elected to the Board of Directors. Shareholders also approved the amendment to the Articlesof Association concerning the increase in conditional share capital.

Approximately 1 093 shareholders attended the General Meeting at the Hallenstadion in Zurich. Overall, 15.9 million of the voting rights (49.56% of the share capital) were represented.

The Board of Directors proposed a withholding tax-free distribution to shareholders for the2012 financial year of CHF4.50 per registered share from the capital contribution reserve.This was approved by the shareholders and will be paid with value date 30April2013.

The shareholders accepted the Report on Compensation with 92.19% votes in favour and adopted the amendment to the Articles of Association put forward by the Board of Directors to increase the conditional share capital by 3640614 shares to a total of 6000000 registered shares.

Ueli Dietiker, Frank W. Keuper and Klaus Tschütscher were each elected to the Board of Directors for a one-year term. Peter Quadri stood for re-election to the Board of Directors and was elected for a further one-year term of office. Volker Bremkamp decided to step down from the Board of Directors for age reasons. The Board ofDirectors and the Corporate Executive Board would like to thank him for his strong commitment to SwissLife over many years.
